Kee Shao Yee (Partner)

Shao Yee holds a Bachelor of Law (LLB (Hons)) from the University of Leeds and was called to the UK Bar as a Barrister-at-Law of Middle Temple in 2011. The following year, she was admitted to the Malaysian Bar.

Shao Yee began her career at one of the largest law firms in Malaysia. In 2016, she joined Grandall Law Firm (Beijing) as foreign legal counsel and has recently been transferred back to Malaysia to join Richard Wee Chambers. This collaboration will enhance the services offered to Chinese clients as they extend their footprint into Southeast Asia. Furthermore, Shao Yee served as deputy secretary general of the Malaysian Chamber of Commerce and Industry in China from 2017-2019.

Shao Yee is a corporate lawyer with extensive experience in corporate and financial matters involving parties across multiple jurisdictions. She possesses significant expertise in drafting and negotiating provisions in both English and Mandarin for international business transactions.

Specialising in foreign direct investment, mergers and acquisitions, and corporate finance, particularly corporate lending, structured finance, and project finance. Shao Yee offers comprehensive legal advice to domestic and international financial institutions, major corporations, and international impact investors in their various roles, including lenders, financiers, arrangers, issuers, borrowers, and guarantors.

She frequently represents international impact investors and development finance institutions, such as responsAbility, Incofin, Triple Jump, Symbiotics, Triodos, DEG etc in financing transactions, including revolving loans and equity financing. Shao Yee is also actively involved in advising on green financing for solar and other eligible green projects. Additionally, she participates in financial inclusion projects with quasi-financial institutions such as financial leasing companies, microcredit companies, supply chain finance companies, and commercial factoring companies in China.

Her extensive experience also includes advising multinational and foreign corporations on corporate mergers and acquisitions related to foreign direct investment projects in China. She has a proven track record in structuring, negotiating, and documenting transactions involving outbound investments, representing Chinese Enterprises and corporate clients across the Asia-Pacific Region and European countries.

  • Advised FGV Holdings Berhad, a global agricultural and agri-commodities listed company, on its disposal of 100% equity interest in a wholly-owned subsidiary of FGV to a China-listed group.
  • Advised Bona Film Group in connection with their establishment of the first cineplex overseas.
  • Advised as China counsel to a famous F&B brand in South East Asia, about their proposed listing exercise at Bursa Malaysia.
  • Advised and issued legal opinions to Bank of China (Malaysia) and China Construction Bank (Malaysia) Berhad regarding the validity and enforceability of cross-border guarantee.
  • Provided legal services to semiconductor material manufacturers for their direct investment in Malaysia, including land acquisition and plant setup.
  • Advised China’s leading cloud computing and big data service provider for their direct investment in Malaysia, including land acquisition and plant setup.
  • Advised Everbright International in their waste management projects in Southeast Asia countries and regions.
  • Advised Alibaba and We Capital in connection with their private equity investment in Nonolive, a live-streaming platform in Indonesia.
  • Advised Bord Na Mona Plc., a semi-state owned company in Ireland in connection with their proposed acquisition on an agricultural technology company in China.
  • Served as long-term legal adviser for UMW PETROPIPE (L) LTD., which is the subsidiary of the UMW group, a leading industrial enterprise with diverse and global interests in the automotive, equipment, manufacturing and engineering industries.
  • Assisted CIMB Bank in issuing Malaysia’s first Basel III-compliant Tier 2 subordinated debt of up to RM10 billion.
  • Project financing for the extension of Duta-Ulu Kelang expressway and financing for the construction of Kuala Lumpur International Airport 2.
  • Provided legal advice to Bitmain and its overseas subsidiaries, handling legal matters related to privacy policies, blockchain qualifications, and product compliance.
  • Advised on various legal and regulatory issues in connection with foreign debt transaction involving the microfinance industry in China such as foreign debt quota, leverage ratio and the security arrangement.
  • Advised funds managed or advised by responsAbility Investment AG in connection with a EUR loan to a microcredit institution in Inner Mongolia.
  • Advised Microfinance Enhancement Facility SA in connection with a CNH loan to a microcredit institution established in Ningxia province.
  • Advised DEG a development finance institution to provide green loans to a prominent microcredit company in China, Zhejiang province.
  • Advised responsAbility Investments to provide a USD 18 million debt financing to the largest triparty bus financial leasing company in China, marking a significant milestone in the company’s endeavour to expand its green assets.
  • Advised Investment Fund for Developing Countries (IFU) for their debt investment in a clean energy project in China, the funds will be utilized to invest in a portfolio of advanced rooftop solar projects for commercial and industrial enterprises.
  • Advised GCPF to provide green funding to Chinese non-financial institutions for a variety of green loan products in the fields of distributed photovoltaic power generation, energy-saving household appliances, energy-saving building materials, and others.
